This agreement (“Agreement”) is between users of https://www.loiter.au/ and any related service, tool or application (“Website”) and the operator of the Website (“Loiter”).
If you use the Website anywhere in the world, Loiter™ refers to the magazine operated by Loiter Media, a registered business name of Bloomly Education Pty Ltd (ABN 19 663 063 821), based in Victoria, Australia.
A reference to “you” means an intending user or user (as the case requires) of the Website and a reference to “your” is a reference to you in the possessive form.
A reference to “we” or “us” is a reference to Loiter™ and a reference to “our” or “ours” is a reference to us in the possessive form.

As this Agreement may be updated from time to time, users of the Website should consider carefully whether any change to this Agreement may affect them, and whether any change is suitable to their continued use of the Website.

1. Licence to Use the Website
We grant you a non-exclusive, worldwide, non-transferable licence to use the Website in accordance with these Terms. You may access and use the Website (including any incidental copying that occurs as part of that use) in the normal manner and may print or store electronically one copy of any page for your own personal, non-commercial use.
You must not add any content to the Website:
- Unless you hold all necessary rights, licences and consents to do so.
- That would cause you or us to breach any law, regulation, code or other legal obligation.
- That is, or could reasonably be considered to be, obscene, defamatory, discriminatory, threatening, harassing, or otherwise inappropriate.
- That would bring us, or the Website, into disrepute.
- That infringes the intellectual property or other rights of any person.
Some content on the Website may deal with mature or sensitive themes, including drug use. Viewer discretion is advised.
2. Memberships and Paid Services
Loiter™ offers membership options with different levels of access and benefits:
- Loiter Member (free tier) — newsletter access; access to public posts.
- Loiter Subscriber (paid tier) — all benefits of Loiter member, plus: access to all posts; access to comments, and access to additional newsletter content such as curated playlists.
- Loiter Supporter (paid tier) — all benefits of Loiter Subscriber and Loiter Member tiers, plus: delivery of a quarterly print magazine (produced in limited, hand-signed and hand-numbered editions), invitations to private author Q&A sessions; the ability to submit questions for interviews and features; the ability to pitch ideas and content for consideration; acknowledgement on our “Thank You” wall.
We do not guarantee that all submissions, pitches, or questions will be reviewed, published, or responded to, and participation is subject to availability and the willingness of individual authors.
Details of the current entitlements for each tier are published on our Website. We may vary or update those entitlements from time to time but will use reasonable efforts to ensure that each tier continues to provide benefits of comparable overall value.
Loiter Quarterly Magazine: One copy is provided per active Supporter for each issue. To be eligible, you must hold an active Supporter membership at both the billing date and the dispatch date for that issue. The first eligible issue is the next scheduled after joining; no back issues are supplied. A valid Australian postal address is required for delivery. If a copy is lost or damaged in transit, remedies will be provided in accordance with Australian Consumer Law. If delivery cannot be completed due to an incorrect address, we may charge a reasonable re-delivery fee.
Membership fees (where applicable) are charged in AUD and include applicable Australian taxes unless otherwise stated. Payment will be processed through our nominated payment provider.
- You may cancel your membership at any time; cancellation will stop future renewals but will not result in a refund for the current billing period unless required under Australian Consumer Law.
- Under the Australian Consumer Law, you are entitled to a repair, replacement, or refund if the service has a major problem (for example, it is not provided as promised). We do not offer refunds for change of mind.
3. Intellectual Property Rights
Nothing in this Agreement constitutes a transfer of any intellectual property rights. You acknowledge and agree that, as between you and us, we own all intellectual property rights in the Website.
By posting or adding any content onto the Website, you grant us a perpetual, non-exclusive, royalty-free, irrevocable, worldwide and transferable right and licence to use that content in any way (including, without limitation, reproducing, changing, and communicating it to the public) and to permit others to do the same. You consent to any act or omission that would otherwise infringe your moral rights, and you must ensure that any third party who has moral rights in the content consents in the same way.
4. Third-Party Links
The Website may contain links to other websites and content added by people other than us. We do not endorse, sponsor, or approve any such user-generated content or any content available on any linked website.
5. Liability
To the extent permitted by law, we exclude all liability in respect of loss of data, business interruption, or any indirect, incidental, or consequential damages arising out of your use of the Website.
Nothing in these Terms limits your rights under the Australian Consumer Law. Where we are liable under that law, our liability is limited, at our option, to:
- in the case of goods: replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of doing so;
- in the case of services: resupplying the services or paying the cost of having them resupplied.
6. Termination
We may suspend or terminate your access to the Website if you breach these Terms. Termination will not affect any rights or obligations that have accrued before that date.
7. Assignment and Severance
You must not assign or deal with any of your rights under this Agreement without our prior written consent. We may assign or deal with the benefit of this Agreement without your consent.
If any provision of this Agreement is prohibited by law or judged to be unlawful, void, or unenforceable, that provision will be severed from this Agreement and the remaining provisions will continue in effect.
8. Governing Law and Jurisdiction
This Agreement is governed by the laws of Victoria, Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts of Victoria.
